These Terms of Service ("Terms") govern your use of the Digiplug Marketing Service LLP website and the digital marketing services we provide. By accessing our website or engaging our services, you agree to these Terms.

2. Services

Digiplug provides digital marketing services including but not limited to SEO, social media marketing, competitor analysis, content strategy, consulting, and related growth solutions. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate proposal, statement of work (SOW), or service agreement.

3. Account & Client Responsibilities

You agree to:

  • Provide accurate and complete information required for service delivery.
  • Grant timely access to accounts, platforms, analytics, and brand assets as needed.
  • Review and approve deliverables within agreed timeframes.
  • Ensure you have rights to any content, images, or materials you supply to us.
  • Comply with applicable laws, platform policies, and advertising regulations.

4. Fees & Payment

  • Fees are as stated in your signed proposal or invoice.
  • Invoices are due within 15 days of issuance unless otherwise agreed in writing.
  • Late payments may incur a fee of 1.5% per month on outstanding balances.
  • We may suspend services if payment is overdue by more than 30 days.
  • All fees are exclusive of applicable taxes unless stated otherwise.

5. Intellectual Property

  • Client materials: You retain ownership of content and assets you provide.
  • Deliverables: Upon full payment, you receive a license to use final deliverables created specifically for your project, unless otherwise stated in your agreement.
  • Our tools & methods: Digiplug retains ownership of proprietary frameworks, templates, software, and methodologies used in delivering services.
  • Portfolio: Unless agreed otherwise in writing, we may display completed work in our portfolio and marketing materials.

6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement, except where disclosure is required by law or with prior written consent.

7. Service Level & Performance

While we apply industry best practices and data-driven strategies, we do not guarantee specific rankings, traffic levels, conversion rates, or revenue outcomes. Digital marketing results depend on many factors outside our control, including market conditions, competition, and platform algorithm changes.

8. Limitation of Liability

To the maximum extent permitted by law, Digiplug's total liability for any claim arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim during the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Indemnification

You agree to indemnify Digiplug against claims arising from content you provide, your breach of these Terms, or your violation of third-party rights or applicable laws.

10. Term & Termination

  • Either party may terminate a monthly retainer with 30 days' written notice.
  • Fixed-term projects may only be terminated early as specified in the SOW or Refund & Cancellation Policy.
  • We may terminate immediately for material breach, non-payment, or unlawful use of services.
  • Upon termination, you remain responsible for fees for work completed and non-cancellable third-party costs.

11. Website Use

You may not use our website to transmit harmful code, scrape content without permission, impersonate others, or engage in activity that disrupts our systems. All website content is protected by copyright and may not be reproduced without written permission.

12. Third-Party Platforms

Our services may involve third-party platforms (e.g., Google, Meta, LinkedIn). Your use of those platforms is subject to their respective terms. We are not responsible for changes, suspensions, or policies enacted by third-party providers.

13. Governing Law

These Terms are governed by the laws of India. Disputes shall be resolved in the courts located in Ernakulam, Kerala, India.

14. Changes to Terms

We may update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
